These Terms of Use ("Terms") govern access to and use of the AgentUp website, the AgentUp client cabinet at agentup.agency/app/, our AI messaging agents, and any related services (collectively, the "Service"), operated by AgentUp ("we", "us", "our"). By accessing the Service, messaging one of our connected channels, creating a cabinet account, or engaging us as a client, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
"Agent" means an AI-driven automation configured to converse with, qualify, or otherwise assist end users on behalf of AgentUp or a client. "Client" means a business or private individual that has engaged AgentUp to design, build, and operate an Agent. "Cabinet" means the client dashboard at agentup.agency/app/. "End User" means anyone who messages or otherwise interacts with an Agent. "Content" means messages, prompts, files, business data, and other materials submitted to or generated by the Service.
AgentUp is an AI automation studio operated by Andrii Sokolov, designing and running AI agents for businesses of any size and for private individuals — handling customer conversations, bookings, content, reviews, and website AI assistants. The Service covers our own demo agents (this website, our Instagram and Telegram channels), the agents we build and operate for Clients, and the Cabinet.
The Service consists of consulting, design, implementation, and ongoing operation of custom AI agents, along with the demo agents we run ourselves and the Cabinet through which Clients manage their engagement. Features, channels, and integrations available to a given Client are as agreed in that Client's specific engagement, which takes precedence over the general descriptions on this website.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and — where you act for a business — have the authority to bind the business you represent, to engage us as a Client. End Users interacting with an Agent as consumers must have the legal capacity to enter into the transaction they are pursuing (e.g., booking a service).
When you message an AgentUp-connected channel, your messages may be processed by an AI system to generate a reply, qualify your request, score you as a lead, or route you to a human. We design agents to be accurate and helpful, but AI-generated output can occasionally be incomplete, out of date, or incorrect. For anything time-sensitive, financial, medical, legal, or otherwise high-stakes, please confirm details with a human contact before relying on an agent's reply.
The Cabinet lets you link your WhatsApp, Telegram, or Instagram conversation history to your account through verification mechanisms (a one-time code sent to your existing WhatsApp conversation, a verified matching email, or a personal one-time link). You agree to link only phone numbers and channel accounts that belong to you. Attempting to link someone else's identity is a material breach of these Terms and may result in immediate suspension.
Monthly subscription fees renew automatically each billing period unless cancelled. You may cancel future renewals at any time — from the Cabinet's Billing page, through Paddle's billing portal, or by notifying us; cancellation takes effect at the end of the current billing period, and no partial-period refund is given unless required by law or agreed otherwise in writing. You may also request a temporary pause of your subscription (e.g., for a seasonal business); pause terms are agreed in writing.
Refunds are governed by the specific terms of your engagement (e.g., a pilot guarantee) confirmed in writing before work begins. Outside of such an agreed guarantee, fees for work already performed and monthly subscription periods already rendered are non-refundable. Where a refund is due, it is issued through the same payment processor that took the payment.
Support inside the Cabinet is answered by an AI assistant first, with automatic handoff to a human team member when the AI cannot help or when you ask for a person. Our stated response times (e.g., "reply within 2 hours") are service targets during normal working hours, not contractual guarantees, unless your engagement says otherwise in writing.
Features marked "preview", "beta", or similar (including experimental AI tooling in the Cabinet) are provided for evaluation, may change or be withdrawn at any time, may be less reliable than the rest of the Service, and are excluded from any service-level commitments.
You agree not to use the Service to: send unlawful, defamatory, harassing, or fraudulent content; impersonate any person or entity; link channel identities or phone numbers that are not your own; send unsolicited bulk messages (spam) through an Agent; attempt to reverse-engineer, scrape, or extract the underlying prompts or models powering an Agent; or probe, penetration-test, or otherwise attempt to compromise the security of the Service without our prior written authorization.
Workflows, prompts, automation logic, the Cabinet software, and the AgentUp brand remain our intellectual property unless otherwise agreed in writing. You retain full ownership of your own business data, brand assets, uploaded files, and client/end-user information processed through your Agent. Upon full payment for a completed engagement, we grant you a non-exclusive, non-transferable license to use the delivered Agent configuration for your own business for as long as your subscription remains active.
Each party agrees to keep the other's non-public business information confidential and to use it only to perform this agreement, except where disclosure is required by law.
Our handling of personal data is described in the Privacy Policy. Where we process personal data of your customers on your behalf, we act as your processor: we process such data only to operate your Agent, apply the security measures described in the Privacy Policy, and assist you, within reason, in meeting your own data-protection obligations. A separate data-processing agreement can be signed on request.
Our Agents may operate on top of third-party platforms (Meta/Instagram, WhatsApp, Telegram, Google, Paddle, Buffer, and others). Your use of those platforms remains subject to their own terms and policies. We are not responsible for outages, policy changes, pricing changes, or account actions taken by those platforms, including suspension or removal of access that affects your Agent's functionality.
We work to keep Agents running reliably but cannot guarantee uninterrupted availability, as automation depends on third-party APIs, hosting infrastructure, and underlying AI providers, any of which may occasionally be unavailable. Planned or emergency maintenance may cause temporary downtime. Support response times and scope are as agreed in your specific plan.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that an Agent's output will be error-free or uninterrupted.
To the extent permitted by law, AgentUp is not liable for indirect, incidental, special, or consequential damages arising from use of the Service, including lost revenue or missed inquiries caused by third-party outages or AI output errors. Our total liability for any claim relating to the Service is limited to the fees you paid us in the three months preceding the event giving rise to the claim.
You agree to indemnify and hold AgentUp harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or content you provide that infringes a third party's rights.
You may stop using our Agents, delete your Cabinet account, or request that a Client engagement be wound down, at any time by contacting us; outstanding fees for work performed remain due. We may suspend or discontinue an Agent or Cabinet access if payments are overdue, if a connected platform revokes access, or if the Service is used in a way that violates these Terms or applicable law.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including but not limited to power or internet outages, war, martial law, natural disaster, or failures of third-party platforms or infrastructure providers.
These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith negotiation; failing that, the dispute will be resolved in the competent courts of Ukraine, without prejudice to any mandatory consumer-protection rights you may have under the law of your own country of residence.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
These Terms, together with any signed proposal, statement of work, or written engagement letter for Clients, constitute the entire agreement between you and AgentUp regarding the Service, superseding any prior understanding on the same subject.
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and, where appropriate, communicated directly to active Clients. Continued use of the Service after changes take effect means you accept the updated Terms.
Notices to us should be sent to the email address below. We may send notices to Clients via email, through the Cabinet, or through the messaging channel used for the engagement.
